Terms of Service

1. The Service

ChatMunshi is a software-as-a-service application that connects to your WhatsApp Business account and uses artificial intelligence to answer your customers, capture leads, and help you book appointments. The Service operates on the WhatsApp Business Platform provided by Meta and may use other third-party providers to deliver messaging, AI, storage, and payment functionality.

We may add, change, or remove features at any time. We will try to give reasonable notice of material changes that reduce core functionality.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must register for the Service using accurate information and keep it up to date. You are responsible for the business on whose behalf you use the Service.
  • You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at chatmunshi@senithu.lk of any unauthorised use.

3. Free trial

We may offer a free trial that is limited by a number of AI-answered messages or a number of days, whichever comes first, as shown at sign-up. The trial is provided “as is” for evaluation only. We may modify or withdraw trial terms at any time. When the trial ends, you must select a paid plan to continue using the Service.

4. Plans, billing, and payment

  • The Service is offered on recurring monthly subscription plans. Published plans are Starter ($19), Growth ($49), and Business ($99) per month in US Dollars (USD). Prices are flat, with AI usage included, and may change on notice.
  • Payments are processed through PayPal. By subscribing, you authorise us (via PayPal) to charge the applicable fee to your chosen payment method on a recurring basis until you cancel.
  • Subscriptions auto-renew each billing period. You may cancel at any time from your account or via PayPal; cancellation stops future renewals and takes effect at the end of the current paid period.
  • Fees are exclusive of any taxes, levies, or duties, which are your responsibility where applicable.
  • If a payment fails, we may suspend or downgrade your account until payment is resolved.

5. No refunds

ChatMunshi is a digital product delivered immediately and on an ongoing basis. All fees are non-refundable, and we do not provide refunds or credits for partial periods, unused messages, or unused time. Full details, and the limited exceptions required by applicable law, are in our Refund & Cancellation Policy, which forms part of these Terms.

6. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy and all applicable laws. In particular, you must not use the Service to send unsolicited or bulk messages (spam), to harass or deceive, or in any way that violates the rules of WhatsApp or Meta. Breach of the Acceptable Use Policy is a material breach of these Terms.

7. WhatsApp and Meta platform terms

The Service relies on the WhatsApp Business Platform. Your use of WhatsApp through the Service is also subject to Meta’s and WhatsApp’s own terms and policies, including the WhatsApp Business Terms of Service and Messaging Policy. You are responsible for complying with them. ChatMunshi is an independent product and is not affiliated with, sponsored, or endorsed by Meta Platforms, Inc. “WhatsApp” is a trademark of Meta Platforms, Inc. We may suspend your access if Meta restricts, suspends, or changes the platform in a way that affects the Service.

8. Your customers’ data

When you use the Service to communicate with your customers, you are the controller of your customers’ personal data and we process it on your behalf as your processor. You are responsible for having a lawful basis and any required consents to message your customers. Our processing is governed by our Privacy Policy and Data Processing Addendum.

9. AI-generated content

The Service uses AI to generate replies and transcriptions. AI can make mistakes and may produce inaccurate, incomplete, or inappropriate output. You are responsible for the messages sent from your account, for configuring the Service correctly, and for reviewing and overseeing its output where appropriate. The Service is a tool to assist you and does not provide professional, legal, medical, or financial advice.

10. Third-party services

The Service integrates with third parties including Meta/WhatsApp, PayPal, Google Cloud and Firebase, and others. Your use of those services is subject to their terms, and we are not responsible for their acts, omissions, availability, or content.

11. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Senithu Software Solutions and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription. You retain all rights to your own data and content. You grant us the rights necessary to host and process your data to provide the Service.

12. Availability and warranties

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service depends on third-party platforms outside our control. To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, Senithu Software Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service. Our total aggregate liability for any claim arising from or related to the Service will not exceed the amount you paid to us for the Service in the three (3) months immediately before the event giving rise to the claim.

14. Indemnification

You will indemnify and hold harmless Senithu Software Solutions from any claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content or messages, your breach of these Terms or applicable law, or your violation of the rights of any third party (including your customers or Meta/WhatsApp).

15. Suspension and termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms or the Acceptable Use Policy, if required by a third-party platform or law, or to protect the Service or other users. On termination, your right to use the Service ends. We may delete your data after a reasonable period, subject to the retention described in our Privacy Policy.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing law and disputes

These Terms are governed by the laws of Sri Lanka, without regard to conflict of law rules. You agree that any dispute arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Sri Lanka, except that we may seek injunctive relief in any competent court to protect our rights.

18. General

  • Entire agreement. These Terms, together with the policies they reference, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for failures caused by events beyond our reasonable control.
